The most recent proof for ANG consistent high level performance in the M&A sector was the selection of the firm to assist Veolia Water in the successful acquisition of the United Utilities’ European non-regulated assets, including the controlling interest in Sofiyska Voda AD, the concessionaire of the Sofia water and waste sewerage system. In the course of the acquisition ANG lawyers took active role in the due diligence process and advised Veolia on a wide range of sophisticated issues in the areas of corporate law, concessions and PPP, competition etc.

ANG continues to provide comprehensive support to Veolia in view of the expected completion of the acquisition.

In 2009 and 2010 ANG further expanded its practice in the field of litigation and alternative dispute resolution (ADR) matters.

The firm was a legal consultant in an international arbitration case before the International Court of Arbitration with the International Chamber of Commerce in Paris related to an unfulfilled concession award.

Mrs. Svetlana Ganeva attended the proceedings as a legal expert on a wide range of complex issues under Bulgarian substantive law.

ANG represents the Bulgarian Ministry of Regional Development and Public Works and the Road Infrastructure Agency in international arbitration proceedings before the arbitration court with the International Chamber of Commerce in Paris, against a Contractor under a road infrastructure project governed by the FIDIC conditions.

ANG represents the Ministry of Environment and Water in arbitration proceedings before the Arbitration Court at the Bulgarian Chamber of Commerce and Industry against a foreign consortium in connection with a dispute regarding the performance of a construction contract governed by the FIDIC rules.

A favourable outcome was obtained in a significant number of commercial arbitration cases before the Arbitration Court at the Bulgarian Chamber of Commerce and Industry. ANG represented the leading packaging recovery organization in Bulgaria in series of arbitral proceedings against several large Bulgarian undertakings in relation to their activity and more particularly the fulfilment of their mandatory recovery and recycling targets as per the Waste Management Act.

Arsov Natchev Ganevarepresents various international clients in administrative and court cases in Bulgaria and in particular in tax administrative cases and in tort cases.

ANG provides legal advice to a number of local and international entities in view of their participation in different public procurement award procedures. The ANG’s team assists in the preparation of the tender documentation, appealing procedures etc.  

In the beginning of 2009 on behalf of Swissport Bulgaria AD, ANG initiated proceedings before the Commission on Protection of Competition against the State operator for abuse of dominant position. The Commission found that the State operator is in breached of the competition legislation and as a result the respondent undertook appropriate commitments for termination of its illegal behaviour.

In addition to the above procedure, on behalf of Swissport Bulgaria AD, ANG approached the European Commission on the grounds that the State operator denied access to the market of ground handling services in contradiction with the EC competition law. As a result at the end of 2009 the European Commission commenced an infringement procedure against the Republic of Bulgaria.    

In 2010 the ANG team advised the Ministry of Environment and Water, in co-operation with the international consulting company NIRAS, on the drafting of the Bulgarian regulations for implementation of projects under the Track 1 procedure of the Joint Implementation mechanism under the Kyoto Protocol.

Arsov Natchev Ganeva currently provides full scope legal services to one of the largest French investment funds – in relation to the acquisition of a wind power plant in Bulgaria. The legal work consist of completion of a full due diligence of the project companies and the assets necessary for the operation of the wind power plant, assistance and advice in the deal structuring, identification and setting up of the appropriate special purpose vehicle designated to acquire the project, etc;

ANG provided tax legal advice to Areva Technicatome,a French subsidiary of Areva SA, in relation to its participation in a bid for the design of a surface repository for low level short-lived radioactive waste in Bulgaria;

ANG provides tax legal advice to Areva NP SAS in relation to its participation as a subcontractor of the main contractor in the Nuclear Power Plant Belene project.

The law firm renders full range legal services with а strong focus on corporate, commercial, real estate and construction law, IP and contractual law issues as well as comprehensive assistance in the process of the acquisition of numerous real estate properties in the country and in the negotiations, preparation and drafting of the construction contract for Lidl’s logistic centre in Bulgaria.

Arsov Natchev Ganeva continues to advise on ongoing basis the London based Jordan International Bank on the available legal instruments for securing the repayment of the loan extended by Jordan International Bank to a foreign investment company.

Arsov Natchev Ganeva provided corporate and financial legal advice to Jordan International Bank. ANG ensured all legal formalities associated with the factual granting of security in favour of the Bank.

Arsov Natchev Ganeva provided the Bulgarian Branch of one of the largest Greek banks with a legal advice on a restructuring of a large amount credit. The advice included, inter alia, opinion on different variants for restructuring the credit having in mind financial, accountancy, regulatory, tax, economic, capital adequacy and credit ratings considerations.

ANGadvises Alpine Bau GmbH on the legal matters in relation to the participation of Alpine in the Hydro – Power Plant project Gorna Arda.

In 2009 and 2010 the ANG team carried out an in-depth analysis of the new amendments introduced in the Bulgarian Water Act and the relevant legal framework. The study was elaborated for the needs of one of the major international water operators in view of its investments projects related to the Bulgarian water sector.  

ANG advises the European giant in the aeronautics industry – EADS, France on a wide range of legal matters mainly in the field of IT, corporate and tax law in connection to their specific activity in Bulgaria.  

Arsov Natchev Ganeva was the legal advisor of Radio France International, France in the process of the sale of its Bulgarian subsidiary – Radio France International, Bulgaria. The legal work encompassed execution of a due diligence, rendering legal advices on the deal structuring, preparation and negotiation of transaction documents, regulatory aspects.

ANG is the legal advisor in Bulgaria of Sagacarbon - one of the leaders in the EU emission allowances and CО2 Instruments trade and a subsidiary of the French state-owned bank Caisse des Depots. ANG is the legal consultant of Sagacarbon during the negotiation and conclusion of the first for Bulgaria contracts for sale of allowances under the EU emissions tradе scheme.
